Considering the summon requirements it is far too strong, even if it is difficult to summon, it should still not prevent the opponent from activating cards until the end phase.

Negating all face-up cards the opponent has is alright for the requirements, but not to cancel him out of the duel for two player turns.

If you remove that you do not even need the effect to halve damage, but the second part of the negation effect is by FAR too strong, you might consider adjusting it.
